Terms of Service

Saibro Lda.

Last updated: 22 July 2026 · Version 1.0

1. These terms, and who they apply to

These terms cover your use of Saibro, web software with an Android field app that plans the soil sampling rounds of enhanced rock weathering projects and computes the measured claim for each reporting period. They are a contract between Saibro Lda., of Rua Romão Ramalho 59, Sala 2.04, 7000-671 Évora, Portugal (“Saibro”, “we”) and the company that signs up (“Customer”, “you”).

The service is for businesses only, not consumers. By signing up you confirm that you are acting for your business and that you have the authority to commit your company.

The person who accepts these terms accepts them for the company, not for themselves. If you don’t have that authority, please don’t go ahead.

If documents disagree. This order applies: (1) a signed order form or agreement between us, (2) the data processing agreement, (3) these terms, (4) our Privacy Policy, (5) anything else on our website.

2. What the service is

Saibro is web software, with an Android field app and an upload link for your lab, for planning the soil sampling of an enhanced rock weathering project and computing its measured claim. You upload the project's field and Unit boundaries, control plots, baseline results, rock analysis, spreading logs and each round's lab results. Our weathering models forecast the weathering signal in every field with an interval and propose how many cores each zone of each Unit needs to reach the statistical power your protocol requires; a seeded random draw places the cores inside each zone, and the plan reaches your field team's app only after a person you name approves it. When a round's results are back, the service computes from the measured cores alone, with the protocol's own calculation, the removal you can claim at the protocol's percentile, and assembles the files a verifier asks for, released when a person you name approves the claim. Every reporting period the models are checked against fields held out of their fit, and a model that fails stops shaping your plans until a retrained one passes.

3. What the service is not

These limits are deliberate, and they are part of what you are buying. They are not defects.

Not sampling or analysis. We do not take cores, run a lab or analyze samples. Your field team cuts every core and your lab analyzes it, and the plans and claims are only as good as that work.

Not a registry, a verifier or a buyer. We do not certify, verify, issue, buy or sell credits, and nothing in the service guarantees that a registry issues any. You submit the monitoring report; your verifier and your registry decide.

Not a modeled claim. No forecast of ours becomes a claimed tonne, and we sell no ex-ante credits. The claim is what the cores measure, even where a model expected more.

Not a watershed model. The service works with removal measured in the soil's near field. Losses in groundwater, rivers and the ocean are applied with the registry's own module and factors; we do not model them.

Not agronomic or regulatory advice. We do not advise on rock, application rates or crops, and we do not place rock on the market as a fertilizing product, whether CE-marked under the EU Fertilising Products Regulation or registered under Portugal's national rules.

4. What you need to do, and why it matters

What you get from the service depends a lot on things only you control. Please read this section carefully, because sections 9 and 10 build on it.

Upload complete and accurate project data. Boundaries, control plots, spreading logs and lab results must be complete and as recorded. A missing spreading record or a mislabeled sample changes a plan and a claim, and the service can flag only what it can see.

Approve plans and claims, and submit them yourself. A plan reaches your field team and a claim reaches your file pack only on approval by a person you name. Read what you approve: the approval is yours, and so is the submission to your registry.

Cut cores where the plan puts them. Your field team cuts each core within 5 meters of its planned point, at the depth the plan sets, and logs it in the app. A point that cannot be reached is replaced from the zone's reserve list in the app, with a reason. Cores cut anywhere else weaken the plan's statistics, and the file pack records them as they were cut.

Keep control plots untreated. A control plot must receive no rock for as long as it serves as a control. One that receives rock stops being a control, and the fields paired with it need a new match.

Have the right to share farm data. Before you upload farmers' names, parcels or parcel numbers, make sure your agreements with them and the GDPR allow it, and tell your field team what the app records.

Choose the protocol version. Tell us which protocol and version each project follows. When a registry releases a new version, you decide when the project adopts it.

5. Getting started, and what is free

Before any contract, the first call ends with a first plan for up to three of your noisiest Units, drawn from your round one lab sheets and spreading log. The plan is yours to use whether or not you buy.

On the One round plan, a round is invoiced only once you approve its plan. If you approve no plan, nothing is owed.

6. Fees

Per hectare, per reporting period. The Reporting period plan is $6 for each hectare of the project's Units that has received rock and is monitored in the reporting period, invoiced at the start of the period. From 10,000 such hectares across a customer's projects in one period, the Portfolio plan is $4.50 a hectare. Control plots are not counted, and a period longer than 12 months is invoiced per started 12 months.

One round. The One round plan is $2 for each hectare in the Units a single round covers, invoiced when you approve that round's plan.

Price hold. The price per hectare holds for a project's first two reporting periods.

What is not charged. Seats for your field team, your lab and your verifier, reading lab sheets, re-running a claim after a protocol update, exports to your registry and to shared-data programs, and the first plan before any contract carry no charge.

Tax. Prices are in US dollars and exclude tax. A customer in Portugal is invoiced with Portuguese VAT (IVA), 23% on the mainland, with the VAT also stated in euros. A business customer in another EU member state with a valid VAT number is invoiced without VAT under the reverse charge. A customer outside the EU is invoiced without Portuguese VAT.

7. Delivery, availability and support

Plans. A project's first plan follows within five business days of complete inputs. After that, a round's updated plan follows within two business days of the round's last lab file.

Claims. The claim for a reporting period is computed within three business days of the period's last lab file, and released only when you approve it.

Protocol versions. Isometric's Enhanced Weathering in Agriculture protocol, version 1.2, is supported now; the Puro export follows in February 2027. When a registry releases a new version of a protocol we support, the service supports it within 60 days, and every claim names the version it follows.

Support. We answer in Portuguese, English or Spanish, within one business day, from 08:00 to 18:00 Lisbon time on business days.

Support. Support is by email at [email protected]. We aim to reply within one business day. That is a target, not a guarantee.

8. Plans, lab rounds and claim versions

Plan versions. Every plan is kept with the model version that proposed it, the random seed that placed its cores, its reserve list, who approved it and when, and every change made before approval.

Lab rounds. Each lab file is kept as it was received, beside the rows read from it and every correction a person made, with who made it and when.

Claim versions. Each computed claim is kept with the protocol version, its inputs, the seed of its Monte Carlo run and its approver, so that it can be computed again and give the same number.

Correction. If a number we computed is wrong because of our software, we compute it again at no charge and issue a corrected file pack beside the original, marked as corrected, with a note of what changed.

9. What we promise, and what we don’t

We promise to provide the service with reasonable skill and care, and that we have the right to provide it.

We do not promise that any Unit reaches the protocol's power in a given round, that a round needs fewer cores than another method would ask for, or that a forecast is right, which is why no forecast enters a claim. We do not promise that every value on a lab sheet is read correctly, which is why values the reader is unsure of go to a person, or that a verifier accepts a monitoring report or a registry issues credits.

Beyond that we give no other warranty. As far as the law allows, we exclude all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

10. Liability

10.1 Neither of us limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else the law says can’t be limited.

10.2 Losses neither of us covers. Neither of us is liable for lost profit, revenue, expected savings, business, goodwill or reputation, or for any indirect or consequential loss, however it arises.

10.3 Specific exclusions. We are not liable for credits that are not issued, deducted or delayed, or for deliveries missed under an offtake; for plans and claims you approved; for the work of your field team or your lab; for changes a registry makes to its protocol; or for project data you uploaded without the right to share it.

10.4 Cap. Our total liability to you in any 12-month period is limited to the fees you paid us in that period. The limit does not apply to harm we cause by intent or gross negligence, which Portugal's law on standard contract terms does not let a contract limit.

10.5 You accept that the limits in sections 9 and 10 are a fair way to share risk, given the price and your part under section 4, and that we could not offer the service at this price without them.

11. Confidentiality and data

Your project data, lab results, plans, forecasts and claims, the hectares and crops you report, your farm partners' names and the fact that you use Saibro are your confidential information. We use them only to run the service for you and disclose them to no one, apart from the file pack you release to a verifier you invite.

How we handle personal data is set out in our Privacy Policy and in the data processing agreement between us, which forms part of these terms. If the DPA and these terms disagree about personal data, the DPA wins.

12. Who owns what

Your project data, lab results, plans, claims and file packs are yours. So is your project's fitted model: it serves only your project and is deleted when the project is deleted.

The software, the field app, the shared weathering network, the lab-sheet reader and their documentation are ours. Where a file pack includes the planning model's code and theory manual, they are given to your registry and your verifier for review, in confidence, and are not licensed for any other use.

You may not use our name or logo in public, and we may not use yours, without written permission first.

13. How long this lasts, and how it ends

13.1 The contract starts when you sign up and runs until one of us ends it.

13.2 You can end it. Cancel at any time. It takes effect at the end of the current billing month, unless section 6 sets a minimum term.

13.3 We can end it. We can end it with 30 days’ notice. We can end it immediately if you seriously break these terms and don’t fix it within 14 days of being told, if you become insolvent, or if your use exposes us to legal risk.

13.4 What happens then. We stop delivering and stop billing. You keep everything already delivered to you, and your right to use it continues. We delete or return our working copies as the DPA says. Sections 9, 10, 11 and 12 continue to apply.

14. Changes to these terms

We may update these terms. A change that matters takes effect 30 days after we email you about it. If you don’t accept it, you can end the contract before then. Using the service after that date means you accept the change.
